Welcome to Trustiics.com.

The following Terms of Service and Privacy Policy (the “Terms”) govern your access to and use of any service offered by, through or on www.trustiics.com or any mobile version of the aforementioned website (the “Trustiics website”), including any service, content and functionality available on the Trustiics website.

Please read the Terms carefully before you start to use the Trustiics website. By using the Trustiics website or opening an account, you accept and agree to be bound and abide by the Terms.

1. Trustiics Inc. is a legal tech company, not a law firm 

Trustiics Inc. is a North American-based legal tech company.  Our goal is to apply technology to improve the efficiency, security and convenience of the communication, data and document transportation between business, individual and legal professional users, especially those located in different regions and countries.   We operate the Trustiics website, where registered professionals provide independent service to registered users.   

Trustiics is not, and do not represent ourselves as a licensed law firm and we ourselves do not provide legal advice.  

Your use of the services does not create an attorney-client relationship between you and Trustiics, or between you and any Trustiics employee. 

Trustiics does not guarantee or review the quality, suitability, sufficiency, or outcome of any legal services you purchased.  

Most of the fees paid by you as a customer on the Trustiics website go to the registered legal professional whom you choose to answer your question or provide other services to you.  A small fraction of the fees you pay on the Trustiics website constitutes our service fee for us to manage, maintain and operate as a technology-based online platform. 

2. Collection and Use of your Personal Information 

The Trustiics website collects and uses your personal information for the sole purpose of optimizing the services for you. 

The Trustiics website may collect personally identifiable information, such as your email address, name, physical address, telephone number, company information and your business industry. The Trustiics website may also use your personally identifiable information to inform you of other products or services available from the Trustiics website. The Trustiics website may also contact you to participate in surveys to conduct research about your opinion of current services or of potential new services that may be offered. 

3. Security of Personal Information

You are responsible for safeguarding and preventing unauthorized access to the user information and password that you use to access our services. You agree not to disclose your password to any third party, and you are responsible for any activity using your account, whether or not you authorized that activity. Please immediately notify Trustiics of any unauthorized use of your account. 

The Trustiics website secures your personal information from unauthorized access, use or disclosure. In addition, The Trustiics website secures the personally identifiable information you provide on computer servers in a controlled, secure environment, protected from unauthorized access, use or disclosure. 

4. Tracking and Cookies

Information about your computer hardware and software may be automatically collected by the Trustiics website. This information can include: your IP address, browser type, domain names, access times, operating system, cookie information, referring website addresses and Internet Service Provider. The Trustiics website may also collect information on your use of our site, such as pages visited, links clicked, text entered and mouse movements. This data is used to deliver customized content and advertising within the websites we operate to users whose behavior indicates that they are interested in a particular subject area. Please note that any “do not track” signals sent by your web browser or other mechanism have no effect on the collection of personally identifiable information by the Trustiics website. 

5. Communication with Registered Professionals

To ensure delivery of services, and for quality assurance purposes, the Trustiics website will have access to communications between you and registered counsels which are transmitted through the services. As a result, if you choose to communicate with a counsel through the services, please note that any such communications between you and a counsel may not necessarily be treated as confidential information by the counsel or protected by the attorney-client privilege doctrine.

6. Communications, Contents and Resources

Our services include frequent and regular communications among registered users. These include services such as blog posts, question and answers, messages between business users and their chosen counsel, customer service communication and other message services. You agree to post, send, and receive only messages or materials proper to and related to the service you choose. 

Trustiics does not investigate contents created, uploaded, posted or sent by the Users through the Trustiics website (the “User Contents”) for accuracy or reliability and does not guarantee that User Content is accurate. Trustiics is not legally responsible for any User Content made available on the Trustiics website, even if that information is defamatory or otherwise legally actionable. To protect the integrity of the feedback or rating system and to protect Users from abuse, we reserve the right (but are under no obligation) to remove posted feedback, User Content or third-party content or information that, in our sole judgment, violates the Terms of Service, negatively affects the Trustiics website, diminishes the integrity of the feedback system or otherwise is inconsistent with our business interests and the purposes of the Trustiics website.  

You agree that you will not do any of the following: 

  1. Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others.
  2. Publish, post, upload, distribute or disseminate any names, materials, or information that is considered inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful.
  3. Create a false identity, represent yourself as someone else, or sign an agreement as someone else or on behalf of someone else or otherwise falsify or delete in an uploaded file any significant attributions or notices. 
  4. Upload files that contain software or other material protected either by intellectual property laws or by the rights of privacy or publicity except when (i) you own or control the necessary rights, or (ii) you have received all necessary consents to do so. 
  5. Upload corrupted files, files that contain viruses or any other files that may damage the operation of another’s computer. 
  6. Restrict or inhibit any other user from using and enjoying the communication services on The Trustiics website. 
  7. Harvest, or otherwise collect, personally identifiable information about others without their consent. 
  8. Transmit, barter, advertise or procure the sending of any advertisements, commercial activities, sales or any other similar solicitation including, without limitation, any “spam”, “junk mail”, “chain letter”, contests, sweepstakes and other sales promotions.
  9. Violate any code of conduct or other guidelines which may be applicable for any particular communication service. 
  10. Violate any applicable laws or regulations. 

                    The list of prohibitions above provides examples and is not complete, exhaustive, or exclusive. It is your responsibility to ensure that your use of the Trustiics website and any User Content do not violate the prohibitions above. You agree to comply with all Applicable Laws, including applicable privacy and data protection regulations. Further, you agree to not use the Trustiics website to send us sensitive information where unauthorized disclosure could cause any harm or impact to us or any other individual or entity.  

                    Although the Trustiics website has no obligation to monitor the communications, we reserve the right, according to our own discretion, to review and remove materials posted in any communication, in whole or in part. The Trustiics website reserves the right to disclose any materials posted, information or activity as necessary to satisfy any applicable law, regulation, legal process or governmental request. 

                    Trustiics makes no representations, warranties, or guarantees, whether express or implied, that the Trustiics Resources or contents on Trustiics website are accurate, complete, reliable or up to date. Your use of the Trustiics website and the contents is at your own risk and Trustiics has no responsibility or liability whatsoever for such use. 

                    The Trustiics website may include content provided by third parties, including from other Users and third-party professionals. All statements and/or opinions expressed in any such third-party content, are solely the opinions and the responsibility of the individual or entity providing such content. Such content does not necessarily reflect the opinion of the Trustiics website. The Trustiics website is not responsible, or liable to you or any other party, for the content or accuracy of any third-party content. 

                    7. Fees and Payments

                    The Trustiics website facilitates a payment infrastructure which enables Users to pay any fees and applicable taxes payable for a service they purchase through the Trustiics website of any legal fees to lawyers and disbursements (together with applicable taxes) owing to them and service fee to Trustiics (the “Payment Services”).  

                    We use the services of Stripe, Inc. and its affiliates, including Stripe Payments Canada, Ltd. (the “Payments Data Controller”) to process, route and deliver funds under Applicable Laws for the purposes of supplying the Payment Services. 

                    You acknowledge and agree that we may use the Payments Data Controller and certain third-party vendors and service providers to process payments and manage your Payment Method information.  

                    All prices, discounts, and promotions posted on the Trustiics website are subject to change without notice. We strive to display accurate price information; however, we may, on occasion, make inadvertent typographical errors, inaccuracies, or omissions related to pricing and availability. Trustiics reserves the right to correct any errors, inaccuracies, or omissions at any time and to cancel any legal service product purchase arising from such occurrences. 

                    All Users acknowledge and agree that the Payment Services, including the charging, processing and delivery of any fees are ultimately subject to the policies of our Payments Data Controller. The Payments Data Controller’s Privacy Policy and other legal information Is located here: https://stripe.com/privacy-center/legal. 

                    You hereby authorize Trustiics to: (i) complete a credit card pre-authorization whenever you booked, ordered or purchased a legal service product (a “Pre-Authorization”); (ii) store credit card and banking or other financial details as your method of payment (“Payment Method”), and to debit or charge your Payment Method any other amounts payable. All Users, by using the Trustiics website and the Payment Services, hereby represent, warrant, and covenant that: 

                    1. The Payment Method information you supply to us is true, correct, and complete; 
                    2. You are legally authorized to access, use and make payments with such Payment Method; 
                    3. Use of the Payment Method to access the Trustiics website does not and shall not violate the terms and conditions applicable to your Payment Method or Applicable Law; 
                    4. Your Payment Method is (and at all times shall be) in good standing with sufficient funds or available credit to satisfy your payment obligations in respect of your use of the Trustiics website; 
                    5. Charges incurred by you will be honored by the financial institution to which your Payment Method is associated; and 
                    6. You will pay all fees and charges incurred by you, including service fees, disbursements and all applicable taxes, if any. 

                              Trustiics is not liable to any User if a financial institution fails to honor any debit or charge to a Payment Method. We reserve the right to seek reimbursement from a User to the extent permitted by Applicable Law, and a User shall reimburse us, where we receive any chargeback or other financial penalty or loss in processing the Payment Method associated with a user account. You hereby agree that we have the right to seek such reimbursement and authorize Trustiics to charge your User account and/or Payment Method to recover any such losses. 

                              You hereby acknowledge and agree that: 

                              1. Absent manifest error, any charges or debits to your designated Payment Method for the payment of fees of your order is non-refundable, except as otherwise required by Applicable Law or as otherwise deemed appropriate in Trustiics’ sole and absolute discretion; and 
                              2. Without the express written consent of Trustiics, you will not ask your Payment Method provider to charge back any fees charged pursuant to the Terms of Service for any reason. 

                                Notwithstanding any other provision of the Terms of Service and except as prohibited by Applicable Law, Trustiics may suspend paying legal fees (including disbursements and taxes, as applicable) to a Lawyer account, and take such other actions with respect to a Lawyer’s account as we deem appropriate where Trustiics determines, in our sole discretion, that:  (i) a Lawyer has violated the Terms of Service; or (ii) a Client is inappropriately or mistakenly charged for legal services or duplicate transactions. 

                                Whenever a User is in default of payment obligations, Trustiics may, without notice, temporarily or permanently close the User’s account and revoke the User’s access to the Trustiics website. Notwithstanding the foregoing, the User will remain responsible for any and all Legal Fees, Service Fees and any other amounts outstanding at the time of default. Without limiting other available remedies, a User in default shall pay Trustiics upon demand for any and all Legal Fees, Service Fees and any other amounts outstanding at the time of default, plus interest on such outstanding amounts, calculated at the lesser of one and two percent (2%) per month or the maximum interest allowed by Applicable Law, and legal fees and other costs of enforcement and collection.

                                8. Intellectual Property Rights

                                The Trustiics website retains all rights, title and interest in and to its products and services, including, without limitation, software, images, text, graphics, illustrations, logos, service marks, copyrights, photographs, videos, music and all related intellectual property rights. Except as otherwise provided in this agreement, you may not, and may not permit others to: 

                                • Reproduce, modify, translate, enhance, decompile, disassemble, reverse engineer or create derivative works of any of our products and services; 
                                • Sell, license, sublicense, rent, lease, distribute, copy, publicly display, publish, adapt or edit any of our products and services; or 
                                • Circumvent or disable any security or technological features of our products and services.

                                “Trustiics” is a registered trademark of Trustiics Inc. These and any other Trustiics product or service names or slogans displayed on Trustiics products are trademarks of Trustiics Inc. You may not copy, imitate or use them, in whole or in part, without our prior written consent. In addition, the look and feel of Trustiics is the service mark, trademark and/or trade dress of Trustiics Inc., and you may not copy, imitate or use it, in whole or in part, without our prior written consent. The names of actual companies and products you might encounter through us may be the trademarks of their respective owners. Nothing in these Terms or the Services should be understood as in any way granting any license or right to use any of Trustiics’s trademarks displayed on our website. All goodwill generated from the use of Trustiics’s trademarks is reserved for the use of Trustiics exclusively. 

                                9. Disclaimer of Representations and Liability

                                The information, software, products and services made available through The Trustiics website may include inaccuracies or typographical errors. The Trustiics website and/or its suppliers may at any time make improvements or changes to our services. Your use of our services is at your own risk. 

                                The Trustiics website makes no warranties, either express or implied, about the services. The services are provided “as is.” We also disclaim any warranties of merchantability, fitness for a particular purpose and non-infringement. 

                                The Trustiics website’s aggregate liability for all claims relating to the services shall in no event exceed the amount paid by you to the Trustiics website for the twelve months preceding the services in question. 

                                Except where such exclusions are prohibited by law, Trustiics and its parent, subsidiaries, affiliates or their respective directors, officers, employees, agents, services providers, contracts, licensors, licensees, suppliers or successors, are not responsible for the conduct, whether online or offline, of any Users of the Trustiics website, and will not be liable for negligence, negligent misrepresentation, fundamental breach, damage of any kind, including any direct, indirect, consequential or punitive damages. Including, but not limited to personal injury, pain and suffering, distress, loss of revenue, loss of profits, loss of business, loss of goodwill, loss of data, and whether caused by tort, breach of contract, breach of privacy, or otherwise, arising out of or in connection with your reliance on any legal service delivered through the Trustiics website. 

                                Without limitation, the foregoing limitation of liability includes and absolves Trustiics from liability for any damages or losses caused by or arising out of or in connection with:

                                1. Delays or disruptions in the Trustiics website; 
                                2. Viruses or other malicious software obtained by accessing, or linking to, the Trustiics website; 
                                3. Any loss, damage, or unauthorized access, disclosure, use or breach of security of any personal information in Trustiics’ possession, custody or control, or otherwise held or processed on its behalf; 
                                4. Observation by government or malicious actors through any means; 
                                5. Glitches, bugs, errors, or inaccuracies of any kind in or on the Trustiics website; 
                                6. Damage to your hardware device from the use of the Trustiics website; 
                                7. The content, actions, or inactions of third parties with respect to the Trustiics website; 
                                8. A suspension or other action taken with respect to your Account; 
                                9. Your reliance on the quality, accuracy, or reliability of profiles, Ratings, Reviews, recommendations, and feedback, information, or metrics found on, used on, or made available through the Trustiics website; and 
                                10. Your need to modify practices, content, or behavior or your loss of or inability to do business, because of changes to the Terms of Service. 

                                                  10. Release and Indemnity

                                                  You, on behalf of yourself and your heirs, executors, agents, representatives, and assigns, fully release, forever discharge, and hold Trustiics and its affiliates and their respective officers, employees, directors, and agents harmless from any and all losses, damages, expenses, including reasonable attorneys’ fees, rights, claims, and actions of any kind and injury arising out of or relating to, your use of the service. You agree that this release has been freely and voluntarily consented to, and you confirm that you fully understand what you are agreeing to. 

                                                  You agree to indemnify and hold the Trustiics and its affiliates and their respective officers, employees, directors, and agents harmless from any and all losses, damages or expenses, including reasonable attorneys’ fees, rights, claims, actions of any kind and injury arising out of any third-party claims relating to your use of the service, your violation of these Terms or your violation of any rights of another. 

                                                  You agree not to hold Trustiics responsible for any dispute you may have with another User. This release includes, without limitation, any disputes concerning the performance, function, and quality of the legal services provided to a Client by a Lawyer and requests for refunds based upon disputes in connection therewith. 

                                                  11. Governing Law and Dispute Resolution

                                                  These Terms will be governed by Canadian federal laws and the laws of the Province of Ontario except for its conflicts of laws principles. 

                                                  Any dispute, controversy, or claim arising out of or relating to these Terms, including any question regarding its existence, interpretation, validity, breach or termination of the business relationship created by it, shall be referred to and finally resolved by arbitration under the Canadian Arbitration Association Arbitration Rules. The place of the arbitration shall be Toronto, Canada. 

                                                  You agree to bring any Claim in arbitration on an individual basis only, and not on a class or collective basis on behalf of others. There will be no right or authority for any Claim to be brought, heard, or arbitrated as a class or collective action, or as a member in any such class or collective proceeding. 

                                                  12. Entire Agreement

                                                  The Terms constitute the entire agreement between you and the Trustiics website with respect to the subject matter of the Terms, and supersede and replace any other prior or contemporaneous agreements, or terms and conditions applicable to the subject matter of these Terms. These Terms create no third-party beneficiary rights. 

                                                  The Trustiics website’s failure to enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable, the remaining provisions of the Terms will remain in full effect, and an enforceable term will be substituted, reflecting our intent as closely as possible. You may not assign any of your rights under these Terms, and any such attempt will be void. The Trustiics website may assign its rights to any of its affiliates or subsidiaries, or to any successor in the interest of any business associated with the services. 

                                                  We may revise these Terms from time to time, and will always post the most current version on our website. By continuing to use or access the services after the revisions come into effect, you agree to be bound by the revised Terms.
