Welcome to Trustiics.com.  

These Terms of Service (the “Terms”) govern your access to and use of any service offered by, through, or on www.trustiics.com or any mobile version of the aforementioned website (the “Trustiics website”), including any service, content, and functionality available on the Trustiics website (collectively, the “Services”).

Please read these Terms carefully before using the Services. By using the Services, you agree to these Terms.

1. Introduction

Trustiics Inc. (“Trustiics” or “we”) is an Ontario, Canada-based legal tech company.  Our goal is to use technology to improve the efficiency, security, and convenience of communication, data transfer, and document exchange between business, individual, and legal professional users, particularly those located in different regions and countries.

2. Not a Law Firm

The Trustiics website is an online marketplace that does not represent itself as a licensed law firm and does not provide legal advice.

The services provided through the Trustiics website are by registered professionals independently. The registered professionals on the Trustiics website or in the Trustiics network are neither employees nor agents of Trustiics.  Trustiics does not guarantee or review the quality, suitability, sufficiency, or outcome of any legal advice/services you purchase.

3. User Registration

a. Eligibility.

To be eligible to use the Services, you must be at least 18 years old and legally able to enter into contracts. By accessing or using the Services, you represent and warrant that you are eligible.

b. User Accounts.

To access the Services, you must register for a free account. By registering for an account, you represent and warrant that all information you provide is truthful and accurate. You are responsible for maintaining the confidentiality of your account login credentials. You are solely responsible for all activities that occur under your account, and you agree to notify us immediately of any unauthorized use of your account or any other security breach.

4. Fees and Payment

a. Fees

All transactions are charged on a pay-as-use basis, and there is no monthly fee, retainer, or any other fees charged to the service users.

There are currently two types of fees in place, both of which are charged on the lawyers’ side: digital market fee and platform service fee, and they in total account for 15% of the total lawyer’s proposed fee / legal service fees.

These fees charged by the Trustiics website are used to build, maintain and operate as a technology-based online platform for registered lawyers to provide their services online to people and businesses that need efficient legal services.

All prices, discounts, and promotions posted on the Trustiics website are subject to change without notice. We strive to display accurate price information; however, we may, on occasion, make inadvertent typographical errors, inaccuracies, or omissions related to pricing and availability. Trustiics reserves the right to correct any errors, inaccuracies, or omissions at any time and to cancel any legal service product purchase arising from such occurrences.

b. Taxes.

Applicable sales taxes will be calculated at check out, based on your jurisdiction and the service provider’s jurisdiction, in accordance with the laws and regulations of Canada. You represent and warrant that you have provided accurate jurisdiction information and are responsible for keeping such information up to date.

c. Payment Infrastructure.

The Trustiics website facilitates a payment infrastructure that enables users to pay any fees and applicable taxes payable for a service they purchase through the Trustiics website of any legal fees to lawyers and disbursements (together with applicable taxes) owing to them and service fees to Trustiics (the “Payment Services”).

Currently, all transactions on the Trustiics website are paid by using a credit card.

We use the services of Stripe, Inc. and its affiliates, including Stripe Payments Canada, Ltd. (the “Payments Data Controller”) to process, route, and deliver funds under Applicable Laws for the purposes of supplying the Payment Services.

All major card cards are supported: Visa, Mastercard, American Express, Discover, Diners Club, and JCB.

You acknowledge and agree that we may use the Payments Data Controller and certain third-party vendors and service providers to process payments and manage your Payment Method information.

All Users acknowledge and agree that the Payment Services, including the charging, processing, and delivery of any fees are ultimately subject to the policies of our Payments Data Controller.

You hereby authorize Trustiics to (i) complete a credit card pre-authorization whenever you book, order, or purchase a legal service product (a “Pre-Authorization”); (ii) apply credit card and banking or other financial details as your method of payment (“Payment Method”) to complete a transaction you’ve booked, ordered or purchased on the Trustiics website, and to debit or charge your Payment Method any other amounts payable.

By using the Trustiics website and the Payment Services, you represent, warrant, and covenant that:

  • The Payment Method information you supply to us is true, correct, and complete;
  • You are legally authorized to access, use and make payments with such Payment Method;
  • Use of the Payment Method to access the Trustiics website does not and shall not violate the terms and conditions applicable to your Payment Method or Applicable Law;
  • Your Payment Method is (and at all times shall be) in good standing with sufficient funds or available credit to satisfy your payment obligations in respect of your use of the Trustiics website;
  • Charges incurred by you will be honored by the financial institution to which your Payment Method is associated; and
  • You will pay all fees and charges incurred by you, including service fees, disbursements, and all applicable taxes, if any.

Trustiics is not liable to any user for any loss suffered by them as a result of the Payments Data Controller’s or any third-party vendors’ or service providers’ acts or omissions or for any errors, delays, interruptions, or problems with any transaction or payment processed through the Payment Services.

Trustiics may, in its sole discretion, delay any transaction or payment made through the Payment Services if it suspects fraudulent or illegal activity or if it requires additional verification or information.

In the event of any chargebacks, reversals, refunds, or other adjustments to transactions processed through the Payment Services, Trustiics reserves the right to withhold any payments to lawyers or service refunds to users until such transactions have been resolved.

If any fee payment is not made or is reversed after being made, then in addition to any other remedies available under this Agreement, Trustiics may charge the User a fee to cover the cost of the reversal and reasonable administrative costs incurred by Trustiics, which fee shall not exceed $50.00 CAD.

Whenever a User is in default of payment obligations, Trustiics may, without notice, temporarily or permanently close the User’s account and revoke the User’s access to the Trustiics website. Notwithstanding the foregoing, the User will remain responsible for any and all Legal Fees, Service Fees, and any other amounts outstanding at the time of default. Without limiting other available remedies, in the event of default, the User shall pay Trustiics upon demand for any and all Legal Fees, Service Fees, and any other amounts outstanding at the time of default, plus interest on such outstanding amounts, calculated at the lesser of two percent (2%) per month or the maximum interest allowed by Applicable Law, and legal fees and other costs of enforcement and collection.

Furthermore, Trustiics may, in its sole discretion, suspend paying legal fees (including disbursements and taxes, as applicable) to a Lawyer account, and take such other actions with respect to a Lawyer’s account as we deem appropriate, where Trustiics determines that: (i) a Lawyer has violated the Terms of Service, or (ii) a Client is inappropriately or mistakenly charged for legal services or duplicate transactions. This suspension shall not relieve the Lawyer from any obligations owed to Trustiics or to the Client, and the Lawyer shall remain liable for any Legal Fees, Service Fees, and any other amounts outstanding at the time of suspension. Trustiics may also take any other actions it deems necessary to recover any outstanding amounts, including but not limited to legal action, and the Lawyer shall be responsible for any legal fees and other costs incurred by Trustiics in connection with such actions.

5. Cancellation and Refunds

At Trustiics, we strive to provide high-quality legal services to our clients. If for any reason you are not satisfied with the legal service you have received, we encourage you to reach out to our Customer Support at support@trustiics.com to discuss your concerns.

Once you purchase a legal service from a registered lawyer through the Trustiics website, you cannot cancel your purchase unless the lawyer agrees to cancel the transaction and refund your payment. If you believe you are entitled to a refund for any reason, you must contact Trustiics within 30 days of your payment and provide us with all relevant details and information.

Trustiics will review your request and may, in its sole discretion, issue a refund. Any refund issued will be credited to the original Payment Method used for the purchase. Please note that the refund process may take several business days to complete, depending on the chosen payment method.

If we are unable to resolve the matter to your satisfaction or you do not receive the agreed-upon service, we will promptly issue a refund for the payment made. Trustiics reserves the right to withhold any refund if we suspect or detect fraudulent activity, a violation of our Terms of Service, or other inappropriate conduct.

This clause is subject to the terms of any separate agreements entered into between you and a registered lawyer through the Trustiics website.

6. Communications, Contents and Resources

a. User Content.

Trustiics does not investigate or guarantee the accuracy or reliability of any content created, uploaded, posted, or sent by users through the Trustiics website (“User Content”). Users are solely responsible for their User Content and any legal consequences arising from it. Trustiics is not liable for any User Content, even if it is defamatory or otherwise legally actionable.

To protect the integrity of the feedback or rating system and to prevent abuse, we reserve the right (but are under no obligation) to remove User Content, third-party content, or information that, in our sole judgment, violates the Terms of Service, negatively affects the Trustiics website, diminishes the integrity of the feedback system, or is inconsistent with our business interests and the purposes of the Trustiics website.

b. User Obligations.

By using the Trustiics website, you agree to the following obligations:

  • Do not defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of others.
  • Do not publish, post, upload, distribute, or disseminate any names, materials, or information that is inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful.
  • Do not create a false identity or represent yourself as someone else or sign an agreement as someone else or on behalf of someone else or falsify or delete any significant attributions or notices.
  • Do not upload files that contain software or other material protected by intellectual property laws or the rights of privacy or publicity, except when you own or control the necessary rights or have received all necessary consents to do so.
  • Do not upload corrupted files, files that contain viruses, or any other files that may damage the operation of another’s computer.
  • Do not restrict or inhibit any other user from using and enjoying the communication services on the Trustiics website.
  • Do not harvest or otherwise collect personally identifiable information about others without their consent.
  • Do not transmit, barter, advertise, or procure the sending of any advertisements, commercial activities, sales, or any other similar solicitation, including without limitation, any “spam,” “junk mail,” “chain letter,” contests, sweepstakes, and other sales promotions.
  • Comply with all applicable laws and regulations, including applicable privacy and data protection regulations.
  • Do not use the Trustiics website to send us sensitive information where unauthorized disclosure could cause any harm or impact to us or any other individual or entity.

The list of prohibitions above provides examples and is not complete, exhaustive, or exclusive. It is your responsibility to ensure that your use of the Trustiics website and any User Content does not violate the prohibitions above.

c. Review and Removal of Content.

Although Trustiics has no obligation to monitor communications or User Content, we reserve the right, at our discretion, to review and remove materials posted in any communication, in whole or in part. Trustiics also reserves the right to disclose any materials posted, information, or activity as necessary to satisfy any applicable law, regulation, legal process, or governmental request.

d. Third-Party Content.

The Trustiics website may include content provided by third parties, including other users and third-party professionals. All statements and opinions expressed in any such third-party content are solely the opinions and the responsibility of the individual or entity providing such content. Such content does not necessarily reflect the opinion of Trustiics. Trustiics is not responsible or liable to you or any other party for the content or accuracy of any third-party content.

7. User Responsibilities

a. Compliance with Laws.

You must not use the Services for any unlawful purpose or in any way that violates these Terms.

b. Prohibited Conduct.

You must not engage in any conduct that interferes with or disrupts the Services or any servers or networks used to provide the Services. This includes, but is not limited to, the following:

  • Violating any law or regulation.
  • Infringing on the rights of any person or entity, including intellectual property rights.
  • Engaging in any activity that is harmful, fraudulent, deceptive, or offensive.
  • Attempting to interfere with the Services or any other user’s use of the Services.
  • Transmitting any viruses, worms, or other malicious code.
  • Using any automated system, including robots, spiders, or offline readers, to access the Services in a manner that sends more request messages to the Trustiics servers than a human can reasonably produce in the same period of time.
  • Collecting or harvesting any personally identifiable information, including account names, from the Services.
  • Transmitting spam, chain letters, or other unsolicited email.
  • Attempting to modify, adapt, translate, or reverse engineer any portion of the Services.

8. Intellectual Property Rights

The products and services provided by Trustiics, including but not limited to software, images, text, graphics, illustrations, logos, service marks, copyrights, photographs, videos, music, and all related intellectual property rights, are owned exclusively by Trustiics. Unless expressly permitted by these Terms, you may not, and may not permit others to:

  • Reproduce, modify, translate, enhance, decompile, disassemble, reverse engineer, or create derivative works of any of our products and services;
  • Sell, license, sublicense, rent, lease, distribute, copy, publicly display, publish, adapt, or edit any of our products and services;
  • Circumvent or disable any security or technological features of our products and services.

The design, text, graphics, and arrangement thereof, as well as all other content found on our website, including blogs, legal forms, documents, guidance, and any other Service Content, are owned exclusively by Trustiics and are protected by applicable intellectual property laws and treaties. All rights not expressly granted herein are reserved.

“Trustiics” is a registered trademark of Trustiics Inc. and may not be used by any third party without our prior written consent. In addition, all other Trustiics product or service names or slogans displayed on Trustiics products are also trademarks of Trustiics Inc. and may not be copied, imitated, or used without our prior written consent. The look and feel of Trustiics is the trade dress and/or service mark of Trustiics Inc. and may not be copied, imitated, or used without our prior written consent. The names of actual companies and products mentioned on our website may be the trademarks of their respective owners.

By transmitting any user content on Trustiics, you grant Trustiics and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display any such content, including throughout the world in any media. If you submit feedback or suggestions about our Services, we may use your feedback or suggestions without obligation or compensation to you. You acknowledge and agree that Trustiics is authorized to collect and use aggregated or anonymized information from or about you and other users and user-created documents for the purposes of researching, developing, improving, and marketing its Services.

Any resale or unauthorized copying, use, storage, display, or distribution of forms, articles, documents, or other materials copied or downloaded from our Service is strictly prohibited. Use of these materials is for your personal or business use only. Any resale or redistribution of our materials requires the express written consent of Trustiics.

9. Disclaimer of Representations and Liability

The Trustiics website provides information, software, products, and services that may include inaccuracies or typographical errors. We may make improvements or changes to our services at any time.

We do not provide any warranties, either express or implied, about the services we offer. The services are provided “as is,” and we disclaim any warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will meet your requirements or be uninterrupted, timely, secure, or error-free. We also do not guarantee that the results obtained from the use of the Services will be accurate or reliable. You assume all responsibility and risk for your use of the Services.

In no event will Trustiics or its affiliates, officers, directors, employees, agents, or licensors be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from your use of the Services.

Trustiics and its parent, subsidiaries, affiliates, or their respective directors, officers, employees, agents, service providers, contracts, licensors, licensees, suppliers, or successors will not be responsible for the conduct, whether online or offline, of any Users of the Trustiics website. We will not be liable for negligence, negligent misrepresentation, fundamental breach, damage of any kind, including any direct, indirect, consequential or punitive damages, including, but not limited to personal injury, pain and suffering, distress, loss of revenue, loss of profits, loss of business, loss of goodwill, loss of data, and whether caused by tort, breach of contract, breach of privacy, or otherwise, arising out of or in connection with your reliance on any legal service delivered through the Trustiics website.

Without limitation, the foregoing limitation of liability includes and absolves Trustiics from liability for any damages or losses caused by or arising out of or in connection with:

  • Delays or disruptions in the Trustiics website;
  • Viruses or other malicious software obtained by accessing, or linking to, the Trustiics website;
  • Any loss, damage, or unauthorized access, disclosure, use, or breach of security of any personal information in Trustiics’ possession, custody, or control, or otherwise held or processed on its behalf;
  • Observation by governments or malicious actors through any means;
  • Glitches, bugs, errors, or inaccuracies of any kind in or on the Trustiics website;
  • Damage to your hardware device from the use of the Trustiics website;
  • The content, actions, or inactions of third parties with respect to the Trustiics website;
  • A suspension or other action taken with respect to your Account;
  • Your reliance on the quality, accuracy, or reliability of profiles, ratings, reviews, recommendations, and feedback, information, or metrics found on, used on, or made available through the Trustiics website; and
  • Your need to modify practices, content, or behavior or your loss of or inability to do business because of changes to the Terms of Service.

The Trustiics website or services delivered to Users through the Trustiics website may contain links to third-party resources and businesses on the Internet, called here “links” or “Linked Site(s).” Those links are provided for your convenience to help you identify and locate other Internet resources that may be of interest to you. Trustiics does not control, endorse or monitor the contents of any Linked Site.

That includes, without limitation, any further link contained in a Linked Site, and any changes or updates to a Linked Site. Trustiics is not responsible for webcasting or for any other form of transmission received from any Linked Site. These Terms do not cover your interaction with Linked Sites. You should carefully review the terms and conditions and privacy policies of any Linked Sites. If you use any service provided on a Linked Site, Trustiics will not be responsible for any act or omission of the third party, including the third party’s access to or use of your customer data and (b) Trustiics does not warrant or support any service provided by the third party.

10. Release and Indemnity

By using the service, you agree to release and hold harmless Trustiics and its affiliates, officers, employees, directors, and agents from any and all losses, damages, and expenses, including reasonable attorneys’ fees, rights, claims, and actions of any kind arising out of or in connection with your use of the service. This release applies to any and all injuries, damages, or losses resulting from your use of the service, whether caused by negligence or otherwise.

You agree to indemnify and hold Trustiics and its affiliates, officers, employees, directors, and agents harmless from any and all losses, damages, and expenses, including reasonable attorneys’ fees, rights, claims, actions of any kind, and injury arising from any third-party claims relating to your use of the service, your violation of these Terms, or your violation of any rights of another.

You acknowledge and agree that Trustiics is not responsible for any disputes between you and another user. This includes any disputes relating to the performance, function, and quality of legal services provided by a lawyer to a client, as well as any requests for refunds based on such disputes.

By agreeing to these Terms, you acknowledge that you have freely and voluntarily consented to this release and indemnification and that you fully understand what you are agreeing to.

11. Governing Law and Dispute Resolution

We strive to resolve any concerns or issues quickly and to our customers’ satisfaction. If you have any questions or concerns regarding these Terms, please contact our Customer Support team at support@trustiics.com.

These Terms shall be governed by the federal laws of Canada and the laws of the Province of Ontario, without regard to its conflict of laws principles.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, including any questions regarding their existence, interpretation, validity, breach or termination of the business relationship created by it, the parties agree to resolve the dispute through arbitration in accordance with the Canadian Arbitration Association Arbitration Rules. The arbitration shall be held in Toronto, Ontario, Canada.

You agree that any claim brought by you must be brought on an individual basis and not as a class or collective action on behalf of others. There will be no right or authority for any claim to be brought, heard, or arbitrated as a class or collective action, or as a member in any such class or collective proceeding.

12. Miscellaneous

a. Entire Agreement.

These Terms represent the entire agreement between you and Trustiics with respect to the subject matter covered in these Terms, and supersedes and replaces any prior or contemporaneous agreements, understandings, or communications, whether written or oral. These Terms do not create any third-party beneficiary rights.

b. No Waiver.

The failure of Trustiics to enforce any provision of these Terms does not waive its right to do so later. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect and an enforceable term shall be substituted that reflects Trustiics’ original intent as closely as possible. You may not assign any of your rights or obligations under these Terms without Trustiics’ prior written consent. Trustiics may assign its rights to any of its affiliates, subsidiaries, or to any successor in interest.

c. No Assignment.

These Terms are personal to you and may not be assigned or transferred by you to anyone else without Trustiics’ prior written consent.

d. Amendment.

Trustiics may revise these Terms from time to time and will always post the most current version on its website. By continuing to use the services after the revisions become effective, you agree to be bound by the revised Terms. It is recommended that you periodically review these Terms to ensure that you understand them in their entirety.
